Research-Use-Only Buyer Agreement

1. Purpose and Acknowledgment

The Seller offers certain amino acids and related research compounds strictly for legitimate scientific research and laboratory use only. By placing an order and accepting this Agreement, the Buyer confirms they have read, understood, and agree to the following terms.

2. Buyer Representations and Warranties

The Buyer represents and warrants that:

  • They are purchasing the products solely for legitimate scientific research or laboratory purposes conducted by or under the supervision of qualified researchers or institutions.
  • They are not purchasing for personal use, human consumption, veterinary use, diagnostic purposes, or any therapeutic or performance-enhancing purpose.
  • They are a legitimate researcher, academic institution, laboratory, or entity with appropriate facilities and qualifications to handle research chemicals safely.
  • They have (or will obtain) any required permits, licenses, ethics approvals, or institutional authorizations necessary for their intended research under applicable Canadian and provincial laws.
  • They understand that many amino acid compounds are considered unauthorized drugs under Health Canada regulations and are not approved for human or veterinary use.
  • They are at least 18 years of age (or the age of majority in their jurisdiction) and have the legal capacity and authority to enter into this Agreement.

3. Intended Use and Restrictions

  • All products are labeled “FOR RESEARCH USE ONLY – NOT FOR HUMAN OR VETERINARY USE. NOT INTENDED FOR CONSUMPTION, INJECTION, OR DIAGNOSTIC USE.”
  • The Buyer agrees not to use, administer, or allow the products to be used in humans or animals.
  • The Buyer will not resell, redistribute, or transfer the products to any third party who has not also agreed to equivalent research-use terms.
  • The Buyer will not make any health, therapeutic, safety, or efficacy claims about the products.

4. Product Status and Disclaimers

  • The products have not been evaluated or approved by Health Canada for safety, efficacy, or quality for any use.
  • The Seller provides Certificates of Analysis (COAs) where available, but the Buyer is solely responsible for verifying suitability for their specific research and conducting any additional testing required.
  • The Seller makes no warranties (express or implied) regarding merchantability, fitness for a particular purpose, or non-infringement.
  • The Buyer acknowledges the inherent risks associated with handling research chemicals and agrees to follow all applicable safety protocols, Material Safety Data Sheets (MSDS/SDS), and best laboratory practices.

5. Compliance with Laws

The Buyer agrees to comply with all applicable Canadian federal and provincial laws, including the Food and Drugs Act, Hazardous Products Act, and any import/export or controlled substance regulations. The Buyer is solely responsible for ensuring their research and use of the products complies with all legal requirements in their jurisdiction.

6. Indemnification

The Buyer agrees to indemnify, defend, and hold harmless the Seller, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) the Buyer’s use or misuse of the products; (b) any breach of this Agreement; or (c) any injury, damage, or regulatory action resulting from the Buyer’s research or handling of the products.

7. Limitation of Liability

To the maximum extent permitted by law, the Seller’s total liability under this Agreement shall not exceed the total amount paid by the Buyer for the specific order giving rise to the claim. In no event shall the Seller be liable for indirect, incidental, consequential, or punitive damages.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts of Alberta, Canada.

9. Entire Agreement

This Agreement, together with the Seller’s website Terms of Service, Privacy Policy, and any product-specific disclaimers, constitutes the entire agreement between the parties. It supersedes all prior agreements or understandings. The Buyer acknowledges they have had the opportunity to seek independent legal advice before accepting.

10. Electronic Acceptance

By checking the box below / clicking “I Agree” / signing electronically, the Buyer confirms they have read and agree to all terms of this Agreement and that all representations made herein are true and accurate.
